Welcome to Sentoe Films. These Terms of Service (“Terms”) govern your use of our website and commercial photography services. By accessing our website or engaging our services, you agree to be bound by these Terms.

Sentoe Films is a professional commercial photography business based in New York City, providing services including corporate headshots, product photography, event coverage, brand photography, and related visual content creation.

By booking our services, submitting a contact form, or otherwise engaging with Sentoe Films, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Sentoe Films provides professional commercial photography services including but not limited to:

• Corporate Headshots: Executive portraits, team photos, LinkedIn profiles
• Product Photography: E-commerce, catalog, marketing materials
• Corporate Events: Conferences, galas, trade shows, corporate gatherings
• Brand Photography: Marketing campaigns, website content, social media
• Real Estate: Commercial properties, architectural photography
• Food & Restaurant: Menu photography, restaurant interiors

Specific services, deliverables, and pricing will be outlined in your individual proposal and contract.

Booking Process

1. Submit an inquiry via our website or contact us directly
2. Receive a custom proposal within 24-48 hours
3. Review and sign the photography contract
4. Submit deposit payment to secure your date
5. Booking is confirmed upon receipt of signed contract and deposit

Scheduling

• Sessions are scheduled on a first-come, first-served basis
• We offer flexible scheduling including early mornings, evenings, and weekends
• Same-day or rush bookings may be available subject to a rush fee
• Travel outside Manhattan may incur additional travel fees

Client Responsibilities

The client agrees to:

• Provide accurate information about the project scope
• Ensure access to shooting locations at scheduled times
• Obtain necessary permits for public or restricted locations
• Ensure all participants have signed appropriate releases
• Communicate any changes or concerns promptly

Deposit

• A 50% non-refundable deposit is required to confirm your booking
• Deposits are applied toward the total project cost
• Bookings are not confirmed until deposit is received

Final Payment

• Remaining balance is due upon completion of the shoot, before delivery of final images
• For large projects, payment plans may be arranged in advance
• Images will not be delivered until full payment is received

Accepted Payment Methods

• Credit/Debit Cards (Visa, MasterCard, American Express)
• ACH Bank Transfer
• Check (for invoices over $1,000)
• PayPal or Venmo for deposits under $500

Late Payments

Invoices not paid within 30 days of the due date will incur a late fee of 1.5% per month. We reserve the right to withhold deliverables and suspend future services until payment is received.

Client Cancellation

• 30+ days before shoot: Full deposit refund minus $100 administrative fee
• 14-29 days before shoot: 50% of deposit refunded
• 7-13 days before shoot: 25% of deposit refunded
• Less than 7 days: Deposit is forfeited in full

Rescheduling

• First reschedule (14+ days notice): No fee
• Subsequent reschedules: $150 rescheduling fee
• Reschedule with less than 7 days notice: 25% of project total
• Rescheduled dates must occur within 90 days of the original date

Photographer Cancellation

In the rare event we must cancel:

• We will provide as much notice as possible
• Full refund of all payments received
• We will make every effort to provide an equally qualified substitute photographer

Weather-Related Issues

For outdoor shoots affected by inclement weather, we will work together to reschedule at no additional cost. If no suitable date can be found within 90 days, a full refund will be provided.

Copyright Ownership

Sentoe Films retains copyright ownership of all images created during commissioned work. This is standard practice in the photography industry and is protected under U.S. Copyright Law.

Client License

Upon full payment, clients receive:

• Commercial License: Non-exclusive rights to use images for business purposes
• Permitted Uses: Marketing, advertising, website, social media, print materials
• Unlimited Duration: License does not expire
• No Resale: Images may not be sold, sublicensed, or transferred to third parties

Restrictions

Without additional licensing agreement, images may NOT be used for:

• Resale or redistribution as standalone products
• Stock photography submissions
• Templates or products for resale
• Uses that defame, misrepresent, or are illegal

Portfolio & Marketing Rights

Sentoe Films reserves the right to use images for self-promotion, portfolio, website, social media, competitions, and marketing purposes unless a separate exclusivity agreement is signed.

Model Releases

• Sentoe Films will provide standard model release forms
• Client is responsible for ensuring all subjects sign releases before the shoot
• Minors require parent/guardian signatures
• We cannot be held liable for images used without proper releases

Property Releases

• Client is responsible for obtaining permission to photograph at private locations
• Some locations require permits or fees (client’s responsibility)
• Trademarked items in photos may require additional clearances

Confidentiality

We understand some projects require confidentiality. Please request an NDA before the project begins if needed. We are happy to sign reasonable confidentiality agreements.

Standard Deliverables

• High-resolution edited images in JPEG format
• Web-optimized versions upon request
• Online gallery for viewing and downloading
• Specific deliverables as outlined in your contract

Delivery Timeline

• Headshots: 3-5 business days
• Product Photography: 5-7 business days
• Events: 7-10 business days
• Large Projects: Timeline specified in contract
• Rush Delivery: Available for additional fee

Editing & Retouching

• Standard editing includes color correction, exposure, cropping
• Advanced retouching (skin smoothing, object removal) quoted separately
• Revision rounds specified in contract (typically 1-2 rounds included)

File Storage

Final images are stored for 2 years after delivery. Extended storage or re-delivery after this period may incur fees. We recommend clients maintain their own backups.

Equipment Failure

While we use professional-grade equipment with backups, in the rare event of complete equipment failure preventing completion of a shoot, our liability is limited to a full refund of payments received for that session.

Image Loss

We maintain multiple backups throughout our workflow. However, in the unlikely event of complete data loss before delivery, liability is limited to a refund of payments received.

Maximum Liability

In no event shall Sentoe Films’ total liability exceed the amount paid by the client for the specific services in question.

Exclusions

Sentoe Films is not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Delays caused by client or third parties
• Issues arising from client’s use of images

The client agrees to indemnify, defend, and hold harmless Sentoe Films, its owners, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from:

• Use of images without proper model or property releases
• Client’s breach of these Terms
• Inaccurate information provided by the client
• Any illegal or unauthorized use of delivered images

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to:

• Natural disasters, severe weather, or acts of God
• Pandemic, epidemic, or public health emergency
• Government actions, war, terrorism
• Strikes, labor disputes
• Power outages, internet failures

In such events, we will work together to reschedule or find an equitable solution.

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes will be resolved through binding arbitration in New York County, NY, under the rules of the American Arbitration Association.

Small Claims Exception

Either party may bring qualifying claims in small claims court.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date.

For existing contracts, the Terms in effect at the time of signing will apply unless both parties agree in writing to updated terms.
